We are looking for an attorney that is highly motivated, detail-oriented and team player, to serve as our Assistant General Counsel. This individual should be diligent, proactive, have excellent legal and business judgment, and be comfortable working independently and in a team environment.
Overview of the Role: The Assistant General Counsel will work with and report directly to the General Counsel. This individual will be responsible for providing advice and guidance on a broad range of legal, strategic, and risk management matters across all of the businesses, under the guidance of the General Counsel and in conjunction with outside counsel and internal clients at all levels of the businesses.
Role And Responsibilities
Provide business-oriented leadership, strategic advice, and proactive and effective day-to-day legal support and counsel at all levels of the business, on a wide variety of legal issues.
Draft, review and negotiate a wide variety of commercial contracts (including leasing agreements, vendor agreements, licensing agreements and confidentiality agreements).
Partner with Human Resources in addressing employment matters (including providing practical and strategic legal advice, and coordinating with outside counsel as necessary).
Manage litigation and other adversarial matters in coordination with outside counsel.
Assist with corporate governance matters for all businesses, including preparing materials for Sasser board meetings, drafting board resolutions and meeting minutes, and assisting with other governance matters.
Participate in special initiatives, including M&A and financing projects.
Provide training to management and business groups on relevant legal topics and issues.
Monitor and ensure strategies, programs, policies, practices, and initiatives comply with applicable laws.
Qualifications And Education Requirements
J.D. from ABA accredited law school and member in good standing under at least one state bar.
At least 3-5 years of legal experience.
Combination of law firm and in-house experience is preferred, but not required.
Experience in drafting and negotiating complex commercial agreements is highly preferred.
Experience with employment and labor matters is advantageous, but not required.
Leasing industry experience (either at a law firm or in-house) is advantageous, but not required.
Excellent judgment; attention to detail and ability to work independently.
Excellent written and oral skills.
Effective leadership skills and the ability to contribute strategic insight while providing hands-on legal counsel.
Ability to provide creative, practical guidance and advice on difficult legal / business issues.
Proactive, assertive and capable of managing and prioritizing multiple tasks.
Superior communication and interpersonal skills, with ability to build strong cross functional relationships, and the ability to explain legal issues clearly, concisely and persuasively.
