The Role/Job Description:
This position is for an Associate Counsel at 5 Arches, LLC, a national business purpose mortgage lender, and requires an experienced 5th - 6th year attorney who is intimately familiar with mortgage finance, secured financial transactions, loan origination and documentation, real estate settlement procedures, warehouse lines, and capital markets transactions. The position will be located in Irvine California and will provide day-to-day strategic legal support to the General Counsel.

Responsibilities:
As part of the position you should be highly knowledgeable in each of the following areas:
  • Loan Origination Matters - Review and advise on internal loan original matters, including:
    • Revising notes, mortgages, deeds of trust, guarantees, assignments, and ancillary loan documentation as needed;
    • Title issues and title policy matters;
    • Escrow instructions;
    • Borrower and affiliate org doc review;
    • Coordination with underwriting in respect of complex loan transactions;
  • Capital Markets Transactions –
    • Review, revise, advise on, and negotiate warehouse lines of credit, repo lines, securitization facilities;
  • Secondary Markets Transactions –
    • Review, revise, advise on, and negotiate, mortgage loan purchase and/or sale agreements, table funding agreements, broker agreements;
  • Foreclosure and litigation -
    • Be knowledgeable in judicial and non-judicial foreclosures processes, actions on notes and guaranties, one form of action rules, deeds in lieu, unlawful detainer matters, as well as borrower-lender litigation arising out of the foregoing (including pleadings, discovery and motion practice);
    • Submit title claims and interface with title defense counsel to manage litigations to effective resolution.
  • Commercial transactions - Negotiate and draft a wide variety of commercial contracts including NDAs, employment agreements, and vendor agreements.
  • Provide legal support and research to the office of the General Counsel on a national on basis on an array of issues, including risk management; interface with and manage outside counsel throughout the United States on a host of real estate and financial matters

Qualifications:
  • J.D. from accredited law school and California bar membership in good standing, or willingness and qualification to be Registered In-House Counsel.
  • Minimum 5 years legal experience negotiating and drafting sophisticated legal real estate and financial transactions, including loan origination matters and capital markets transactions, in private practice, or in-house.
  • Background in real estate and mortgage related litigation is a strong plus.
  • Excellent organizational and research skills with ability to work under pressure and deadlines.
  • Excellent judgment and ability to make sound decisions in a fast-paced environment.
  • Ability to handle a high volume of work, and work through projects with minimal supervision.
  • Commitment to responsiveness to the field. Desire to partner with business executives to provide solutions.
  • Strong analytic skills. Concise writing skills.
