Position Summary: In-house counsel in bank legal department. Position will include drafting of commercial real estate loan documentation including loan agreements, notes, mortgages, guarantees, and all related ancillary documents, loan modifications, forbearance agreements, and settlement agreements. Oversight of outside counsel with regard to commercial loan originations and assist Legal Counsel in negotiation of loan documentation. Review and summarize due diligence and organizational documents of borrowers. Assist Legal Counsel in all aspects of closing and post-closing matters related to commercial loan originations, including preparation and recording of mortgages, collateral assignments, UCC financing statements, and procurement of final title policies. Assist Legal Counsel with the review and summary of loan files. Address title and survey issues and prepare related documents, e.g. assignments, discharges, escrow letters.
Drafting of commercial real estate loan documentation
Drafting of various legal documentation related to real estate and/or personal property, including assignments, subordinations, discharges, notes, participation agreements and related documents
Review and summary of commercial real estate loan files
Review and summary of Commercial leases and ground leases
Oversight of outside counsel with regard to commercial loan origination, litigation, foreclosure and bankruptcy
Preparation of agreements related to asset management, including loan modifications, forbearance agreements, settlement and discounted payoff agreements
Preparation of notice letters to borrowers, landlords, tenants and related parties
Successfully pass technical and regulatory examinations by the Company
Knowledge, skills and abilities:
3 or more years’ experience in law firm or corporate position representing lenders handling commercial real estate matters, drafting commercial real estate loan documentation and closing of commercial loans.
Asset based lending experience, secured transactions and UCC experience.
Ability to review and analyze title work and address issues related to real property, including ground leases.
Juris Doctor Degree and bar admission in one or more states
Excellent organizational skills
Excellent inter-personal and communications skills
Ability to handle multiple tasks in a timely manner
Proficient in keyboard and word documents, redlining
