Description:
SmartDrive is seeking a Contracts Counsel in our growing San Diego office. This position will manage various functions within the department in support of SmartDrive’s business and negotiate a variety of business and government agreements. Candidates should have experience working in a corporate legal or contracts department and be comfortable in a fast-paced environment supporting internal business teams, as well as dealing with vendors and customers. The position will report to Corporate Counsel and is responsible for providing legal services to several business organizations within the Company. This individual should be solution-oriented with strong contract negotiation and drafting experience along with the ability to provide practical advice and operate at a high level in a fast-paced environment.

Key Responsibilities
  • Develop, draft, review, approve legal terms and conditions and negotiate wide variety of agreements across many departments including Master Service Agreements, SaaS Agreements, Confidentiality Agreements, Vendor Agreements, Supplier Agreements, Consulting Agreements, Strategic Alliance/Reseller Agreements, Licensing Agreements, and others
  • Provide legal advice and support as needed to internal teams on contract matters, including structuring, contract interpretation, compliance and enforcement, risk assessment, and legal and regulatory compliance
  • Anticipate internal and external business challenges and provide creative problem-solving solutions
  • Analyze legal and commercial risks while supporting corporate strategy and goals
  • Partner with business units to identify and analyze contracts for risks and consistency with business/operational requirements
  • Lead and support contract negotiations with business partners, project teams, internal clients and outside counsel where appropriate
  • Ensure that the Company’s contractual arrangements comply with applicable GSA, FCPA, GDPR, CCPA, and other applicable laws, rules and regulations
  • Maintain a current working knowledge of new laws, case law trends with respect to contracts and regulatory developments
  • Assist and advise internal groups in contract practices and negotiation strategies
  • Ensure consistency of contract terms with company policies and goals and advise on legal issues and risks
  • Analyze contract terms against industry best practices and company policy, then provide practical and strategic legal advice to business owners
  • Work collaboratively with all levels of company management to support commercial and corporate activities
  • Perform additional duties as assigned

Qualifications
  • Minimum 4-5 years of relevant attorney experience
  • Law degree with strong academic credentials from an ABA accredited institution and a license to practice law in California
  • Strong experience in drafting and negotiating a broad range of contracts
  • Excellent verbal and written communication skills, including the ability to address questions and concerns to internal clients
  • Efficient in negotiating Customer and Vendor contracts, working directly with internal teams (e.g., Sales, Customer Success, Product, Engineering, Security, etc.) and external teams (e.g., Customers or Vendors) as appropriate
  • Skilled at developing strong working relationships, both with internal and external stakeholders
  • Demonstrated ability to work independently and as part of a team and to operate successfully in a fast-paced environment
  • Independent, self-starting individual with a demonstrated ability to thrive in a fast-paced environment
  • Good sense of judgment and practical business mind to balance competing legal and business considerations to obtain practical solutions and business-oriented results
  • Strong organizational and time management skills, ability to prioritize and handle multiple tasks
  • Ability to work collaboratively with internal clients at all levels
  • Strong work ethic, a sense of urgency and high level of responsiveness to competing deadlines
  • Ability to prioritize and work effectively in a constantly changing environment
