Position summary:
The primary responsibilities for this role include writing/reviewing contracts and assisting with legal actions brought against customers or individuals for reasons of breach of contract or non-payment.

Qualifications desired:
  • Juris Doctor Degree and Ohio bar admission.
  • Minimum five years relevant experience.
  • Strong academic credentials.
  • Ability to manage multiple tasks simultaneously and prioritize effectively in a fast paced work environment.
  • Outstanding oral and written communications skills; excellent organization skills and attention to detail.
  • Ability to communicate effectively with a variety of contacts including executive leadership, board members, colleagues, outside counsel and business associates.

Supervisory Responsibilities:
This position has no supervisory responsibilities

Essential job functions:
  • Primary legal resource and trusted advisor responsible for legal compliance of business groups and functions to include but not limited to: Marketing/Advertising, Corporate Policies Manual, customer-facing Data Privacy and Technology/ecommerce.
  • Assists management with employment law concerns, contracts, third-party agreements, vendor supplier relationships, claims and creating company policies.
  • Negotiate, draft, and review all customer and vendor contracts.
  • Manage all standard agreements, including terms and conditions.
  • Develop and maintain contract database for Sales, Vendor Management and Accounting.
  • Analyze and support business team on federal government contracting requirements.
  • Create and implement policies and best practices regarding confidential information protection.
  • Work with Finance/Credit and Collection department to conduct corporate policy on delinquent accounts and manage all litigation matters including working with outside council on complex debt litigation.
  • Create and implement company customer facing data privacy and technology E-commerce policy.
  • Have an understanding of financial contracts as it relates to maximum allowable interest rates, stand-by-letters of credit facilities, lease payment agreements, UCC filings, Personal Guarantees, escrow accounts.
  • Research legal issues, laws, rulings and regulations and determine how they impact the Company.
  • Experience with and understanding of corporate insurance i.e. general liability, product liability, workers comp.
  • Manages external counsel, conducting discovery work in complex litigation matters.
  • Ensures compliance with trademarks, patents, intellectual property and trade secrets.
  • Creates business legal reports and correspondence, and effectively presents information to senior management.
  • Responds to inquiries from regulatory agencies, customers and the business community.
  • Create and implement policies and best practices regarding confidential information protection.
  • May conduct research on human resources issues, such as employment/labor law, employee benefits and compensation.
  • Investigate and respond to EEOC and similar claims
