Amyris is seeking a corporate and securities attorney capable of assisting with selected areas of in-house legal representation. The attorney will report to the Senior Corporate Counsel in Emeryville and work closely with Amyris’s General Counsel, other members of Amyris’s in-house legal team, outside counsel, and multiple client groups within the company, with a specific focus on Amyris’s Corporate activities.
Responsibilities
Assist with corporate and securities compliance and governance practices
Oversee corporate governance for Amyris’s subsidiaries
Prepare, file, and manage Section 16 filings for directors and officers
Assist in administration of Amyris’s equity incentive plans
Maintain corporate minute books for Amyris and its subsidiaries
Assist with stockholder meeting processes
Manage corporate qualifications for Amyris and its subsidiaries
Conduct research on legal trends and developments in corporate governance and securities compliance
Assist with legal aspects of SEC reporting process, including preparing SEC reports and disclosures
Assist with all aspects of corporate transactions including financings, licenses, corporate partnering deals, leases, etc. and support other special projects as needed
Draft and prepare various legal documents, correspondence, memoranda, etc.
Perform miscellaneous job-related duties as assigned and/or necessary
The successful candidate will work collaboratively and responsively with a broad range of people and maintain and build great relationships between legal, finance and human resources.
Qualifications
Strong academic background, including JD or LLM from a top U.S. law school
Licensed to practice law in the United States
Minimum of 2 years of experience in a reputable law firm, including significant work in a corporate & securities practice representing public companies and drafting SEC documents
Very strong general contract and SEC disclosure drafting skills
Ability to manage governance and compliance processes with little oversight
Excellent ability to issue spot and integrate legal advice with business goals
Strong verbal and written communication skills, including the ability to communicate concisely
Working knowledge of intellectual property law a plus
Extremely strong interpersonal skills including maturity, creativity and a high energy level
Team-oriented and able to interact effectively and influence peers and all levels of management
Ability to work well in a cross-functional team environment, as well as in a small team environment
