The Corporate Counsel is a critical partner for our fast-paced and growing Kendo Legal team. You will be responsible for drafting and negotiating domestic and international commercial contracts, assisting with Kendo brand formations, and handling corporate governance and risk management. This position will report to the Senior Counsel.

  • Provide guidance on a broad and diverse range of general corporate, commercial, compliance and governance issues with limited supervision.
  • Review, draft and negotiate a wide range of custom and standard agreements, including supply, manufacturing, vendor, influencer, and marketing agreements.
  • Assist with corporate development and strategic transactions including brand formations, joint ventures, mergers, and acquisitions.
  • Responsible for corporate governance, including board resolutions.
  • Responsible for company risk management, including insurance claim reporting and data gathering.
  • Provide general legal advice and support as needed.
  • Establish, maintain and revise template agreements as needed.
  • Oversee contract management, monitoring and tracking.
  • Develop policies, procedures and training as needed.
  • Manage external legal resources.

  • J.D. Degree from an accredited law school; member of California State Bar in good standing.
  • 5+ years of relevant transactional experience at a leading law firm and/or in-house legal department.
  • Significant experience in drafting and negotiating contracts in a wide variety of contexts and ability to handle complex, contested negotiations with no supervision.
  • An excellent ability to: grasp legal and business issues quickly; balance risks; exercise sound judgment; and provide creative, practical, constructive and timely counsel in a growing, dynamic, and fast-paced business environment.
  • Positive and approachable demeanor with strong interpersonal, communication and collaboration skills with all company contributors.
  • Ability to multi-task and appropriately manage a high-volume workflow, setting priorities with internal clients and delivering results efficiently.
  • Strong organizational and time- management skills and attention to detail.
  • Ability and desire to seek responsibility and work autonomously. Must be able to handle multiple projects simultaneously with strong follow up.
  • Comprehensive understanding of M&A structures, deals, documents, and legal issues preferred.
  • Consumer goods and personal care experience preferred.
  • Excellent references.
