Job Summary Barings is looking for a debt attorney to support its Private Placement and Infrastructure Debt teams of the Global Private Credit Group. The attorney for this group will be primarily responsible for assisting the Private Placement and Infrastructure Debt clients with issues relating to privately placed corporate debt, infrastructure / project finance, and aircraft debt finance transactions and related work-out and creditor rights matters. This role will be located at the firm’s headquarters in Charlotte, NC.
Primary Responsibilities The successful candidate will be expected to perform the following functions:
Review, analyze, and negotiate investments in private placement bond, infrastructure, project finance and aircraft finance investment, and bank loan transactions and provide legal advice on transactional documents relating to these investments.
Provide day to day legal support to Infrastructure Debt and Private Placement analysts and portfolio managers.
Have a familiarity with the regulatory and operational aspects of representing an SEC registered investment adviser.
Select, manage, and oversee external counsel in accordance with the firm’s Outside Counsel Management Guidelines.
Communicate material legal, compliance and regulatory issues promptly to the firm’s relevant stakeholders.
Provide support and counsel on special projects.
Minimum of 5 years relevant experience working at a law firm or financial institution
Experience drafting and negotiating debt investment agreements and related documentation
Knowledge of the Investment Advisers Act of 1940 preferred, but not required
Ability to appropriately prioritize tasks, organize, and coordinate work while showing initiative, independence and sound judgment
Demonstrated ability to work effectively both independently and as part of a team
Ability and willingness to take ownership and responsibility for tasks
Detail-oriented and flexible with a strong work ethic
Superior organizational skills and the ability to manage heavy work load of diverse matters in a timely manner
High standards of personal integrity and sound business judgment
Diverse problem solving skills in the investment arena
Significant interpersonal skills and the ability to successfully deal with internal colleagues, external counsel, and other third parties at senior levels
J.D. from a highly-regarded law school
Licensed to practice law in North Carolina (or another US jurisdiction, with the ability to obtain license in North Carolina)
Must be willing to comply with the provisions of Barings’ Code of Ethics related to personal securities activities and other disclosure and certification requirements
