The Proofpoint Legal Department is dedicated to providing expert legal advice in a fast-paced business environment. This position will report directly to the head attorney of the Technology and Products Group in Legal. This role is crucial to building the culture and success of the legal function to help drive Proofpoint’s strategy and growth. The position will be an individual contributor on a close-knit legal team who will work closely with peers, colleagues and staff across the company. The successful candidate will be comfortable leading the Proofpoint team on multiple initiatives and projects, interacting with internal and external executives, and making quick decisions that comply with company policy and strategy. The position is located in Sunnyvale, CA and requires a consistent in-office presence; but may also require occasional travel to our worldwide product and engineering hubs or other offices.

Primary Responsibilities
  • Work closely with the General Counsel and head attorney of the Technology and Products Group in Legal to develop, enhance and implement a robust IP strategy to align with the company’s goals. (~20%)
  • Provide primary legal support for transactions to support product development, inbound technology transactions and associated templates, policies and processes to streamline diligence and appropriate licensing practices. (~20%)
  • Provide practical business and operational advice as well as legal support for a variety of technology programs and transactions, including those with customers, channel partners or technology partners. (~20%)
  • Work with product management, product marketing and engineering, among other groups, to continually improve and enhance the Technology and Product Group’s legal support model to complement agile development and legal aspects of the related product launch process (including trademark clearance, export compliance, open source clearance, product specific contract terms and contract vehicles). (~20%)
  • Provide legal analyses of applicable laws, regulations and industry guidance that impact product development, alliance programs, patent and IP strategy, operations and commercial agreements, and assist in the design and implementation of appropriate programs and policies to enhance the company’s business, especially with respect to intellectual property strategy and practices. (~10%)
  • Proactively communicate issues back to management and drive good business, legal and operational processes throughout the organization; drafting and implementing related policies; travel as requested (~10%)

Qualification and Experience
The successful candidate will be a highly collaborative, strategic and quick-witted individual with meaningful experience in the following areas:
  • Intellectual Property strategy, programs, litigation and management required
  • Experience with technology transactions, including those related to co-marketing, co-development, inbound OEM, hardware, software and data licensing required
  • General experience in a broad range of technology issues required
  • Experience with commercial transactions with Fortune 1000 companies, and Channel (VAR, OEM, SI, etc.) programs and relationships preferred
  • Excellent negotiation skills, including “soft” skills to encourage, motivate and influence at all levels of the organization and of our customers and partners
  • Strong drafting skills with keen attention to detail and the ability to develop new forms and work off of other party’s paper
  • Effective communication in person, in groups, over email and in more formal documentation
  • A practical, creative and proactive problem-solver who is confident and calm under fire and a strong team player and works well with all levels of the organization
  • Highest degree of personal and professional integrity and ethics
  • 12+ years’ experience as an attorney, with previous in-house experience preferred
  • Law firm (AMLAW 200 or equivalent) experience preferred, especially in business transactions, litigation, intellectual property and/or licensing.
  • Excellent academic performance
  • Member in good standing of a state bar in the United States; California preferred.
