Summary:
This position provides internal legal counsel in both operational and corporate areas for the Company’s Oklahoma-based operations. Day to day responsibilities include working with various internal business leaders to advance the Company’s strategic goals by negotiating and drafting agreements as well as managing outside counsel in connection with litigation and other matters.

Essential Functions
  • Partner with and provide legal counsel to internal departments to manage legal risk related to operational matters, including providing advice to ensure compliance with contractual and legal requirements.
  • Negotiate and draft E&P contracts, including surface use and right of way agreements, vendor contracts and land related agreements, as well as midstream contracts such as gas gathering and transportation agreements.
  • Assist with A&D activity, including conducting due diligence and drafting and negotiating confidentiality agreements, letters of intent and purchase and sale agreements.
  • Assist with corporate finance transactions, including reserve-based credit facilities and mortgages.
  • Review and respond to matters involving oil and gas leasehold and landowner disputes, and royalty payment and joint interest accounting issues.
  • Work with internal and outside counsel to manage litigation and investigations, including drafting discovery responses and gathering documentation and attending depositions, trials, and hearings.
  • Manage outside legal counsel and control legal costs in a responsible manner.
  • Interpret statutory and regulatory laws and assess application to E&P operations and agreements.
  • Perform other duties and responsibilities as required.

Minimum Qualifications
  • J.D. degree from an ABA accredited law school; licensed to practice law in the state of Oklahoma or a comparable jurisdiction, and must be in good standing.
  • 5+ years of legal experience in the oil and gas sector.
  • Ability to build relationships and work as part of an interdisciplinary team.
  • Ability to negotiate settlements and other resolutions of disputed matters.
  • Working familiarity with all aspects of the exploration and production business.
  • Strong domestic E&P transactional and contracting background.
  • Experience interpreting and applying statutory and regulatory law to E&P operations and contracts.
