The purpose of this position is to provide in-house legal services, manage the legal area, and to provide advice to support company initiatives while maintaining compliance with applicable laws and regulations. As General Counsel, you will be responsible for providing legal counsel in areas including, but not limited to; contract drafting, negotiations, mergers & acquisitions, real estate, employment and labor law, data privacy and retention, product distribution law, risk management, and corporate law.

Core job functions / responsibilities:
  • Employ legal experience, legal research and professional creativity to anticipate and identify legal risks and opportunities; develop strategies and solutions to address those risks and opportunities; and appropriately communicate those strategies and solutions to leadership.
  • Respond to requests for advice and proactively identify potential legal issues; conduct related research and analysis, and clearly communicate advice and recommendations, including options where appropriate.
  • Review, draft, and negotiate as appropriate, partnership agreements, contracts with vendors, purchase sale agreements, leases, consulting agreements, commercial contracts, and other needs while working with business leaders to address business goals and communicate legal risks.
  • Create and manage corporate compliance programs
  • Understand and interpret product distribution law (franchising) and OEM applications
  • Provide legal assistance as needed with federal and state filings, including reports, audits, compliance filings, and regulatory
  • Mediate contract disputes as necessary, and act as conflict management facilitator if needed, pursuant to legal and other regulatory requirements
  • Manage outside counsel, litigations, and associated costs
  • Develop and manage the legal budget
  • Other miscellaneous legal counsel as required

Education / Experience
  • Ideal candidate will have a minimum of seven years of multi-unit corporate in-house legal experience, automotive experience is preferred
  • JD is required from an ABA accredited law school
  • License in good standing to practice in the State of Minnesota
