The Senior Counsel is primarily responsible for drafting and reviewing a range of business and research agreements with a focus on ensuring compliance with Scripps Research policies and protecting Scripps Research from legal and business risk.

The Senior Counsel is primarily responsible for drafting and reviewing a range of business and research agreements with a focus on ensuring compliance with Scripps Research policies and protecting Scripps Research from legal and business risk.

Responsibilities And Duties
  • Serving as a main legal resource for the Institute’s business units (Procurement, Finance, Information Systems, Compliance, HR, and Business Development/Technology Transfer), to ensure agreements are consistent with applicable legal requirements and internal Institute policies and processes.
  • Assist business units in developing streamlined, organized and efficient policies and procedures for all contracts relevant to those groups, including establishing playbooks and template language; train client groups on contracting matters relevant to their business units.
  • Draft, review, and negotiate a high volume and wide range of agreements, from the simplest to the most complex, including, but not limited to, academic collaboration agreements, material transfer agreements, nondisclosure agreements, license agreements, shareholder and stock agreements, commercial lease agreements, master service and vendor agreements, purchase orders, and clinical trial agreements.
  • Identify issues and potential liability exposure in contract terms and propose solutions to management and internal stakeholders.
  • Manage external counsel related to litigation within specified budgetary limits and in line with management’s expectations.
  • Provide pragmatic day-to-day and strategic advice to minimize legal risks while advancing the Institute’s goals and initiatives.
  • Guide the Institute on the appropriate management of risks and related issues; recommend risk mitigation solutions.
  • Monitor state and federal laws and regulations that may affect the Institute’s operations; stay up-to-date on contracting best practices.
  • Conduct legal research related to various transactional matters, including contract, intellectual property, and general operational matters.
  • Other tasks as may be assigned by the General Counsel.

Communication
  • Interacts regularly with the General Counsel and legal department staff members, Chief Operating Officer, and other senior management and staff of the Institute’s business units to exchange, present and report information and outcomes. Interacts with third parties and regulatory agencies.
Scope And Complexity
  • Works on multiple, diverse and complex matters where in-depth analysis of a variety of factors is required. Demonstrates sound judgment and a strong understanding of legal concepts and applicable laws.

Basic Qualifications:
Position Requirements
  • Law degree from an ABA accredited law school with excellent academic credentials
  • License to practice law in California
  • 7+ years of progressively responsible and relevant transactional/legal experience in private practice or in-house (or a combination), preferably with relevant legal experience in life sciences or supporting clinical research. In-house experience at a clinical research organization, pharmaceutical or biotech company is preferred.
  • Knowledge of privacy and data security regulations is a plus
  • Able to independently handle complex matters with minimal supervision. Understands when to escalate issues to senior management for awareness or decision.
  • Demonstrated capability for legal research, analysis and reasoning.
  • Strong organizational skills and ability to prioritize and manage time-sensitive projects simultaneously with high level of attention to detail, accuracy and discretion
  • Solid contract drafting and negotiating skills with excellent analytical abilities and sound judgment
  • Excellent verbal and written communication skills
  • Ability to interact and function effectively in an academic and research environment
  • Proficiency with MS Office suite of application software
