Description:
The Capital One Legal Department is seeking an experienced attorney to provide support for its growing Commercial Bank. The role will primarily support the Healthcare Real Estate (HCRE) business, a segment within the Commercial Bank that provides financing to owners of medical office buildings, seniors housing and care facilities and other healthcare-related properties, as well as other segments within the Capital One Commercial Banking business.
The successful candidate must have outstanding legal and communication skills, an ability to anticipate and deliver on the needs of an innovative, sophisticated and fast- paced business and the flexibility to simultaneously manage a wide range of transactions and projects. Responsibilities:
Advise the Healthcare Real Estate lending business and other Commercial Bank business units on a wide variety of matters
Provide and coordinate overall delivery of legal support to Healthcare Real Estate as a trusted advisor and partner to the senior management team, transaction teams and other internal partners
Manage the structuring, documentation, negotiation and closing of Healthcare Real Estate financing transactions
Engage and oversee outside legal counsel as needed in an effective and efficient manner.
Escalate issues, as appropriate, and partner collaboratively to identify issues and share potential concerns and ideas with other senior lawyers
Represent the Commercial Bank with external parties, including customers, regulators, partners, industry trade groups and outside law firms
Provide thought leadership on industry and regulatory developments
Work on projects such as the development of form documents, negotiations guidelines and training sessions.
Partner with the Commercial Bank’s Risk and Compliance officers to ensure comprehensive support
Partner with the operations team to drive process improvements
Collaborate with Special Assets legal and business teams in support of workout and restructuring matters
Collaborate with in-house litigation team in support of litigation matters
The ideal candidate will have:
Knowledge of laws and regulations applicable to real estate lending
Detailed working knowledge of commercial real estate lending issues involving title insurance, surveys, zoning, casualty/liability insurance, licensing, and non- recourse carveouts, syndication and market standards
Excellent legal and analytical skills
Demonstrable advocacy and oral and written communication skills, including the ability to interact successfully with all functions and levels of Bank associates, including senior management
Demonstrated ability to quickly understand the business needs and partner with the business, other members of the Legal Department and other groups to create solutions and efficiently deliver team results
Excellent interpersonal, communication and influencing skills
Qualifications:
J.D. degree and a state bar member in good standing
At least 4 years of law firm or in-house legal department experience with commercial real estate transactions, including mortgage-secured real estate financing, mezzanine loans and intercreditor arrangements
Preferred Qualifications:
Experience with lending to the healthcare and commercial real estate industry
Experience with healthcare real estate financings, including medical office buildings and other medical use properties, seniors housing and care (independent, assisted and skilled nursing facilities), biotech properties and data centers
Experience with sponsor-backed finance transactions
Experience with loan syndications
Knowledge of the National Flood Insurance Program and compliance with flood requirements
Demonstrated ability to get issues resolved across organizational borders
