Position Overview Ascena seeks an attorney with extensive experience dealing with a broad base of commercial agreements and contracts, including technology services agreements, software license agreements, SaaS agreement, marketing agreements, digital marketing agreements, procurement agreements, consulting agreements, managed services agreements, and NDAs. This position will report to the Vice President, Chief Counsel Contracts, and will be located in Ascena’s offices in Mahwah, NJ.
Primary Job Responsibilities:
Provide timely review and negotiation of routine contracts
Advise on the structure of such agreements with internal stakeholder teams, including IT, Marketing, Information Security, and Finance
Support Procurement team and internal stakeholders on questions and guidance related to third party contracts and vendor relationships
Respond to inquiries on contract interpretation
Provide general legal support to internal stakeholder teams
Participate in legal department meetings and business project meetings
Excellent contract drafting skills
Self starter and ability to work in fast-paced environment and prioritize multiple projects
Ability to understand business issues related to contracts;
Experience and comfort working with and advising business clients directly in multiple geographic locations;
Excellent organizational skills, to keep track of the status of numerous routine contracts;
Excellent communication skills (including presentation, listening and drafting), to inform business clients of expected turnaround times and continuously communicate the status of their contracts;
Ability to communicate effectively with businesses to ensure contract reflects desired product or service;
Excellent interpersonal skills, such as persuasion, negotiation, cooperation, diplomacy, strong planning, organizational and coordinating skills, and strong internal consulting skills;
Ability to handle multiple contracts at the same time, and manage timelines with business stakeholders;
Ability to review contracts quickly and not over-lawyer — speed is key;
Ability to develop good working relationships with business clients throughout a large and growing public company;
Good working knowledge of IT and software licensing agreements, and drafting related statements of work.
Qualifications & Skills Requirements:
Law degree from a top-tier U.S. law school;
Admission to the Bar of New Jersey;
Approximately 5-10+ years of relevant legal experience that includes significant law firm training;
Demonstrable working knowledge commercial contract experience;
Familiarity with general commercial matters.
Strong drafting, negotiating and communication skills, including ability to communicate complex topics in an easily understandable manner to non-lawyers;
Ability to spot issues proactively and establish procedures to sensitize others to issues/keep others informed of relevant legal developments;
Ability to work independently and with minimal supervision;
Ability to work effectively and efficiently with outside counsel and stay within budget;
Ability to work in matrix environment and to balance priorities;
Ability to establish strong relationships with legal colleagues and business partners and work collaboratively;
Ability to understand business objectives and implement them in legally sound way.
